Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and related services offered by SkillQuest (the “Services”), including the SkillQuest offering. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms are provided for clarity in an early-stage product. They are not a substitute for legal advice tailored to your situation.
1. Who may use the Services
You must be able to form a binding contract in your jurisdiction and meet any minimum age we specify (typically at least 18, or the age of majority where you live). If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
2. The Services
SkillQuest provides tools for skills-based learning, collaboration, and related workflows. Features may change, be renamed, or be withdrawn during MVP and beta periods. We may introduce usage limits, waitlists, or eligibility criteria.
We aim for high availability but do not guarantee uninterrupted or error-free operation. The Services may be modified or suspended for maintenance, security, or business reasons.
3. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Notify us promptly of any unauthorised use.
We may suspend or terminate accounts that violate these Terms, pose a security risk, or abuse the Services.
4. Acceptable use
You agree not to:
- violate applicable laws or third-party rights;
- attempt to gain unauthorised access to the Services, other users’ data, or our systems;
- interfere with or disrupt the integrity or performance of the Services;
- upload malware or conduct phishing, spam, or deceptive practices;
- scrape, resell, or systematically extract the Services except as allowed by a separate written agreement or documented API terms;
- use the Services to build a competing product by extracting training data or proprietary flows without permission.
We may investigate violations and cooperate with law enforcement where required.
5. Your content
You retain ownership of content you submit (“Your Content”). You grant us a non-exclusive, worldwide licence to host, process, transmit, and display Your Content solely to operate, secure, and improve the Services and as described in our Privacy Policy.
You represent that you have the rights needed to grant this licence and that Your Content does not violate these Terms or applicable law.
We may remove content that violates these Terms or that we are required to remove by law.
6. Intellectual property
The Services, including software, branding, documentation, and templates (excluding Your Content), are owned by SkillQuest and its licensors. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
7. Third-party services
The Services may integrate with third-party tools (for example authentication, hosting, or analytics). Those services are governed by their own terms and privacy policies.
8. Confidentiality and feedback
If we provide you with non-public information about unreleased features, you agree to keep it confidential unless we say otherwise.
If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.
9. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including death or personal injury caused by negligence, or fraud).
10. Limitation of liability
Subject to the preceding paragraph, our total liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid us for the Services in the twelve (12) months before the claim, or (b) one hundred British pounds (£100) if you have not paid fees.
We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities, even if advised of the possibility.
11. Indemnity
You will defend and indemnify SkillQuest and its directors, officers, and employees against third-party claims arising from Your Content or your misuse of the Services, except to the extent caused by our wilful misconduct.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access where we reasonably believe it is necessary for legal, security, or operational reasons, or for repeated breach of these Terms.
Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, indemnity, and governing law) will survive.
13. Governing law and disputes
These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction, subject to any rights you may have as a consumer in your home country that cannot be waived.
14. Changes
We may update these Terms from time to time. We will post the revised Terms and update the “Last updated” date. If changes are material, we may provide additional notice (for example by email or in-product). Continued use after the effective date constitutes acceptance of the updated Terms.
